The Services may contain links to third‑party websites or integrate third‑party services (e.g., maps, analytics). We are not responsible for third‑party content, terms, or policies.

10. Fees & Payments (if applicable)

  • Some Services may be offered on a paid basis. Pricing, taxes, billing cycles, refunds, and cancellation terms will be described at the point of purchase or in an order form/SOW.
  • You authorize us (and our payment processors) to charge your payment method for applicable fees.

11. Confidentiality (B2B)

For business relationships, both parties may exchange confidential information. Each party agrees to protect the other’s confidential information using reasonable safeguards and to use it only for the intended purpose.

12. Compliance & Acceptable Use

  • No malware, scraping at scale without permission, reverse engineering, or attempts to bypass security.
  • No unlawful, harmful, defamatory, infringing, or otherwise objectionable conduct.
  • Comply with applicable laws, including export controls and data protection laws.

Your use of the Services is also governed by our Privacy Policy, which explains how we collect and use your data.

14. Disclaimers

THE SERVICES AND CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EV LAB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE.

15. Limitation of Liability

To the maximum extent permitted by law, EV Lab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill. Our total liability arising out of or related to the Services shall not exceed the greater of INR 10,000 or the amount you paid to us for the Services giving rise to the claim in the 3 months preceding the claim.

16. Indemnity

You agree to indemnify and hold harmless EV Lab and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Services or your violation of these Terms.

17. Termination

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination, provisions that by their nature should survive will survive (e.g., IP, disclaimers, limitation of liability, indemnity).

18. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Subject to applicable law, courts located in New Delhi shall have exclusive jurisdiction. Parties shall first attempt to resolve disputes amicably; if unresolved, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated in New Delhi, in English, by a sole arbitrator mutually appointed by the parties.

19. Export & Sanctions

You represent that you are not located in a sanctioned country or on any restricted party list and agree to comply with applicable export, re‑export, and sanctions laws.

21. Miscellaneous

  • Assignment: You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger or sale.
  • No Waiver: Our failure to enforce a provision is not a waiver.
  • Force Majeure: We are not liable for delays due to events beyond our reasonable control.
